1. Acceptance of these terms

These Terms of Service (“Terms”) govern your use of compliancevault.group (the “Site”), operated by ComplianceVault, LLC (“ComplianceVault,” “we,” “us”). By using the Site, you agree to these Terms. If you don’t agree, please don’t use the Site.

2. Our products

The Site describes our software products: SubmissionVault, COMPLicense, MedGuard and RelayDesk. Using any of these products is governed by that product’s own terms of service and, where applicable, the Service Agreement & Support SLA or order your organization accepts when it signs up or purchases. If those documents conflict with these Terms, they control for that product.

3. No professional advice

The Site’s content is for general information only. It isn’t legal, regulatory, medical or compliance advice. Our products are tools that help you organize and track your own obligations; they don’t guarantee any regulatory outcome. You remain responsible for your organization’s compliance. References to regulations such as HIPAA or 21 CFR Part 11 describe product features designed to support compliance with them. They aren’t a certification or guarantee that your use of a product is compliant.

4. Pricing and availability

Prices, plans and features described on the Site may change without notice and may not be available in every case. The price and terms that apply to you are the ones in effect when your organization signs up or places its order, as described in that product’s own terms. If the Site contains an error, we may correct it.

5. Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in violation of these Terms;
• attempt to gain unauthorized access to the Site, its servers or any connected system;
• interfere with the Site’s operation, or introduce malware or other harmful code;
• scrape or copy the Site’s content in bulk, including to build a competing product; or
• submit false information or impersonate anyone through our forms.

6. Intellectual property

The Site and its content, including text, graphics, logos and design, belong to ComplianceVault or its licensors. ComplianceVault, SubmissionVault, COMPLicense, MedGuard and RelayDesk, and their logos, are our trademarks. You may view and print the Site’s pages for your own information. You may not copy, modify, distribute or reuse the content without our written permission.

7. What you send us

When you send us information through the Site, you let us use it to respond to you, as described in our Privacy Policy. If you send us feedback or suggestions, we may use them without any obligation to you.

8. Third-party links

The Site may link to websites we don’t control. We aren’t responsible for their content, terms or privacy practices.

9. Disclaimer of warranties

The Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t warrant that the Site will be uninterrupted, error-free or free of harmful components.

10. Limitation of liability

To the fullest extent the law allows, ComplianceVault won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business, arising from your use of the Site. Our total liability for any claim relating to the Site is limited to one hundred U.S. dollars (US$100). This section doesn’t limit liability under any separate agreement for one of our products; that agreement’s own terms apply.

11. Indemnification

You agree to indemnify and hold ComplianceVault harmless from any claims, losses or expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute relating to the Site will be brought in the state or federal courts located in Georgia, and you consent to their jurisdiction.

13. Changes to these terms

We may update these Terms from time to time. When we do, we’ll change the “Last updated” date at the top of this page. Continuing to use the Site after a change means you accept the updated Terms.
